Definitions:

The Competition - means the Raindance.tv competition to be held during 2009 in partnership with Global One.

Entries can be filmed and edited in any format, however, on request you must be able to provide a high resolution copy of your film.

Competition Partners - means any companies including but not limited to Global One, Raindance.tv Plc (www.raindance.tv), British Independent Film Awards, Raindance Festivals, or any others who are acting on behalf in any aspect of this competition.

Competition Website means the web pages hosted by Raindance.tv for the purposes of promoting and operating the Global one music video competition.

Section 1

1. This competition is starting from January 29th 2009.
2. This Competition is free of charge and without purchase necessary, and is open to anyone, throughout the world, aged 16 or over, except employees of the Competition Partners, their agencies and their immediate families and anyone else connected with the creation and administration of the promotion.

If you are under 18 years old, you must present these terms and conditions to your parent or legal guardian, and we have the right to request that he or she provide certain additional information. If you are under 18 years old, when you click the “I HAVE READ AND AGREED THE COMPETITION TERMS AND CONDITIONS” box on the upload web page of the Raindance.tv website, you are confirming to Global One and Raindance.tv that you have received your parent’s/guardian’s express consent to do so and that your parent/guardian (i) has read and, on your behalf, agrees to be bound by these terms and conditions, (ii) is not a minor and is entering into these terms and conditions on behalf of you and (iii) understands, agrees and shall be fully responsible for your use of the competition website. If your parent or legal guardian does not agree to (or cannot comply with) these terms and conditions or he or she does not wish you to register for the competition, do not click the “I HAVE READ AND AGREED THE COMPETITION TERMS AND CONDITIONS” box and do not use or attempt to use the competition website.

3. No more than three entries per person. The closing date for receipt of entries is April 2nd 2009.
4. Each time you upload or submit any material (or if you attempt to do so) you will be confirming your acceptance of, and agreement to be bound by the terms of these terms and conditions.
5. Entries must be submitted in the formats prescribed by Global One and RAINDANCE.TV no later than April 2nd 2009, by using the upload function provided.
6. There will be 1 winner and up to three runners up globally.
7. The winner and Runners up will be notified within 6 weeks of the closing date
8. The Winner and Runners up will receive the prizes as defined here . The size of budget and timing of any future commissions referenced as prizes are at the sole discretion of Global One.
9. The Winner and Runners up will be required to send a high quality version of their film on DVD or CD-ROM at judging stage. (this is to ensure that a copy of suitable quality for transfer to formats such as film is available) to:

Films cannot be returned. No responsibility will be accepted for entries lost, delayed or damaged in the post or inefficiently pre-stamped.

10. Films under 2 minutes and 56 seconds or over 3 minutes and 06 seconds in length will be disqualified.
11. Entrants must be registered on Raindance.tv to enter.
12. Before submitting an entry, participants must be registered on Raindance.tv. To register, click here.
13. Entrants must also provide all additional data about themselves as required by Raindance.tv
14. To submit a film entrants must agree to the competition terms and conditions, by registering for the competition and ticking the box “I have read and agreed the competition Terms and Conditions”
15. Each user may also include their own biography and/or commentary on the their work and a brief video about the making of and inspirations behind their video to support their entry: this is optional and entries will not be judged on the basis of this material, only on the basis of the music video submitted.
16. Raindance.tv reserve the right to disqualify any entry for any reason, including those that are incomplete, altered or illegible entries.
17. By entering the competition all Entrants authorize Raindance.tv to pass on their details to Global One and Raindance.tv’s affiliate partners for the sole purpose of executing the competition.
18. Global One and Raindance.tv may decide which films are entered for competition at their sole discretion.
19. The master track provided on the website is not for public release and must not be posted in a public forum without Global One’s permission
20. Sexually explicit or violent material, which is of no artistic merit or justification or other material deemed by Global One and Raindance.tv to be offensive or inappropriate and which prevents the use of the material at any time of day or prevents viewing by people of any age, will be disqualified from the competition.
21. The decisions of Global One and Raindance.tv on the identity of the winners are final and binding. No correspondence will be entered into.
22. The winners’ names and country of origin can be obtained by post by sending a stamped addressed envelope to Raindance.tv PLC, 38 Langham st., London W1W 7AR.
23. Global One and Raindance.tv do not assume any responsibility for any misuse of intellectual property by any entrant.
24. Global One grants the filmmaker of every entry the right to include and synchronise the track ‘Lately’ as supplied via the competition website for the sole purpose of submitting their entry to the competition.
25. Upon film submission Global One and Raindance.tv are granted exclusive rights from the date of submission to three months after the competition close date on 2nd April 2009 and the non exclusive right from 1st July 2009 for 12 months to show the video worldwide in all medium including but not limited to theatrical, TV, DVD, IPTV, Online, Mobile.
26. Global One and Raindance.tv are granted an all media exclusive and in perpetuity license to the winning and runner up videos.
27. The winner and runners up are granted permission to play their video, incorporating the track ‘Lately’ from their own hosted web site and within their showreels for promotional purposes only; no distribution or commercial exploitation rights are granted to Film Maker.
28. To the extent that any data supplied by you (such as your name, email address, gender, age and movie preferences) while using the Raindance.tv website are personal (as defined in any relevant data protection legislation), such data will only be used by Global One and Raindance.tv in accordance with applicable data protection legislation for the time being in force in the UK and EU. Your personal data will not be used in any other way without your consent.
29. Terms and conditions are subject to change at the discretion of Global One and Raindance.tv.
30. These terms and conditions are subject to English Law; any dispute stemming from their existence, interpretation or from their execution, will be subject to the competence of United Kingdom Courts.
31. Raindance and Global One shall not be responsible for any technical malfunctions of the telephone network, computer on-line system, computer equipment, software, program malfunctions or other failures, delayed computer transactions or network connections that are human, mechanical or technical in nature, or any combination thereof.

Section 2
By agreeing to the terms and conditions, the entrant:

1. Grants to Raindance.tv and Global One exclusive rights from the date of submission to three months after the competition close date on 2nd April 2009 and the non exclusive right from 1st July 2009 for 12 months to show the video worldwide in all medium including but not limited to theatrical, TV, DVD, IPTV, Online, Mobile.
2. Grants to Global One and Raindance.tv an all media, exclusive, global and in perpetuity license to their entry should that entry be classified as the winning film or a runner up. An entrant whose film is the winner or a runner up acknowledges that they may use their video, incorporating the track ‘Lately’ from their own hosted web site and within their showreels for promotional purposes only and that no distribution or commercial exploitation rights are retained or granted.
3. Warrants that they have acquired all rights and clearances necessary for the granting of rights to Global One and Raindance.tv outlined above in Section 1 clause 24 and 25 and Section 2 clause 1 and 2, and that nothing in the film is libelous or defamatory or infringes any performer’s right, property right, moral right, right of copyright, right in respect of music and/or lyrics in the film, right of privacy, right of publicity or any other right whatsoever of any third party.
4. Warrants that any audio included in the film other than the track ‘Lately’ is cleared for use as envisaged hereunder, and no payments will be required by Global One or Raindance.tv or any third party in relation to exploitation.
5. Warrants that all persons appearing in the film are able to give, and have given, their full consent to participation and to the exploitation of the rights in the film as envisaged hereunder.
6. Warrants that no sums are payable by Global One or Raindance.tv to any person whatsoever with respect to the screening of the film as outlined in Section 1 clause 26 and Section 2 clauses 1 and 2.
7. Indemnifies Global One, Raindance.tv and its Competition Partners against any loss or damages occurring out of any failure to gain the appropriate clearances, defamation of another person etc.
8. Agrees that Global One, Raindance.tv and its Competition Partners may use the entrant’s name in any publicity pertaining to the Competition if the entrant succeeds in being selected as a winner or runner up.
9. Acknowledges that the film they submit will be used as promotional material to support the song and has no commercial value
10. Confirms they are over 16
11. The competition and rules are run under the interpretation of UK law. Terms and conditions translated in any other language than English are for reference only.
